Terms of Service

1. Membership

The Rotate Club offers a monthly subscription at $69/month that gives members access to 2 luxury designer pieces at a time with unlimited swaps.

• A $100 refundable security deposit is required at sign-up and returned when you cancel and return all items.
• Membership renews automatically each month. You may cancel anytime from your account settings.
• Upon cancellation, you must return all rented items within 14 days. Failure to return items will result in the buy-out price being charged.
• We reserve the right to modify membership pricing with 30 days' notice to existing members.

2. Rental Items

All items remain the property of The Rotate Club. As a member, you receive a limited license to wear and enjoy the items during your rental period.

• Care: Treat all items with reasonable care. Do not alter, wash, dry-clean, or repair items yourself.
• Normal wear: Minor signs of wear (light creasing, small marks from regular use) are expected and covered at no extra cost.
• Damage: Excessive damage — including tears, stains, burns, missing hardware, or odor — may result in an assessment fee up to the buy-out price of the item.
• Late returns: Items not returned within 14 days of your next shipment or cancellation will be charged at the buy-out price.
• Lost items: Lost or stolen items will be charged at the full buy-out price.

3. Buy-Out Option

Members may purchase any rented item at 60% off the retail price (the "buy-out price"). Once purchased, the item is yours to keep. Buy-out purchases are final and non-refundable.

4. Shipping & Returns

• We provide free two-way shipping via USPS Priority Mail within the contiguous United States.
• A prepaid return label is included in every shipment.
• Items typically arrive within 3–5 business days after shipment.
• We are not responsible for delays caused by the carrier.

5. Authentication

Every item in our collection is sourced directly from authorized European luxury houses and undergoes expert inspection before being offered for rental. We guarantee the authenticity of every piece. If you believe an item is not authentic, contact us immediately for a full review.

6. Intellectual Property

All content on this website — including text, graphics, logos, images, and software — is the property of The Rotate Club or its licensors and is protected by U.S. and international copyright laws. You may not reproduce, distribute, or create derivative works without our written permission.

7. Limitation of Liability

To the maximum extent permitted by law, The Rotate Club shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Prohibited Activities

You agree not to:

• Sub-rent, lend, or transfer rented items to any third party.
• Use items for commercial purposes, photo shoots, or resale without our written consent.
• Alter, tailor, wash, dry-clean, or repair items yourself.
• Remove or tamper with any tags, labels, or identification on items.
• Provide false or misleading information during registration or at any time.
• Use our service through automated means (bots, scrapers) or circumvent any access controls.
• Engage in any activity that could harm our reputation, services, or other members.

9. Account Termination

You may cancel your membership at any time through your account settings. Upon cancellation, you must return all rented items within 14 days.

We reserve the right to suspend or terminate your account immediately, without prior notice, if you:

• Violate these Terms or engage in prohibited activities.
• Fail to return items within the required timeframe.
• Have repeated payment failures that remain unresolved.
• Cause excessive damage to items beyond normal wear.

Upon termination, any outstanding balances for unreturned or damaged items will be charged to your payment method on file. Your security deposit will be returned after all items are received and inspected.

10. Indemnification

You agree to indemnify, defend, and hold harmless The Rotate Club, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of our services or breach of these Terms.
• Your negligence or willful misconduct regarding rented items.
• Any dispute between you and a third party relating to our services.

11. Dispute Resolution & Arbitration

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in Wilmington, Delaware (or, at your election, your county of residence within the United States). The arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against The Rotate Club.

Small Claims Exception: Either party may bring an individual action in small claims court if the claim qualifies. This arbitration agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies, who may seek relief on your behalf.

Opt-Out: You may opt out of this arbitration provision by sending written notice to hello@rotateclub.com within 30 days of first accepting these Terms. Your notice must include your name, email, and a clear statement that you wish to opt out of arbitration.

12. Auto-Renewal Disclosure

In compliance with California Business & Professions Code Section 17602 (SB-313) and similar state laws:

• Your membership will automatically renew each month at the then-current rate (currently $69/month) until you cancel.
• You may cancel at any time by visiting your account settings at rotateclub.com/account or by emailing hello@rotateclub.com.
• Cancellation takes effect at the end of your current billing period. You will not be charged for the next period after cancellation.
• We will send a confirmation email after each renewal charge and upon cancellation.

13. Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, labor disputes, supply chain disruptions, or carrier delays.

14. Changes to Terms

We may update these Terms from time to time. We will notify members of material changes via email at least 30 days before they take effect. Your continued use of the service after changes constitutes acceptance of the revised Terms.

15. General Provisions

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and The Rotate Club regarding our services and supersede all prior agreements and understandings.

Assignment: You may not assign or transfer your membership or rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Subject to the arbitration provision above, any disputes not subject to arbitration shall be resolved in the state or federal courts located in Delaware.
